第107D条预扣税的主要内容及公司责任：

1. 预扣税的范围：

公司支付给授权代理商、经销商和分销商的佣金（以货币形式）将会被征收2%的预扣税（WHT），这包括他们完成的销售、交易或相关计划所产生的佣金。

2. 条件：

预扣税仅适用于在上一个纳税年度从公司收到总额超过RM100,000的本地居民。RM100,000的标准每年都会重新计算，而不是一次性的评估。

3. 公司职责：

对于在2023年全年收到超过RM100,000佣金的代理（以2023年1月至2023年12月为准），公司会在支付佣金前扣除2%的预扣税。这笔扣除的税款将会在下一个月上缴至马来西亚内陆税收局(IRB)。

请注意，预扣税并不是对代理的额外税款，而是您所得税的预付款项，最后会在您报税时抵扣。

We wish to inform you that Xmegami Sdn. Bhd. (“the Company”) is required to comply with the provisions of Section 107D of the Income Tax Act, 1967, which imposes a Withholding Tax (WHT) on certain payments made to resident individual Agents, Dealers, and Distributors (ADDs). This compliance will take effect immediately.

Key Points of Section 107D WHT and the Company’s Responsibilities:

1. Scope of WHT:
   Payments made by the Company in monetary form to authorised ADDs, arising from sales, transactions, or schemes they have carried out will be subject to a 2% Withholding Tax (WHT).
    
2. Eligibility:
   WHT applies only to resident individuals who have received total payments exceeding RM100,000 from the Company in the preceding basis year for any year of assessment. The RM100,000 threshold will be assessed annually and not on a one-time basis.
    
3. Company’s Responsibilities:
   The Company will deduct 2% of the commission before payments to resellers whose total commissions for the year 2023 (i.e., January 2023 to December 2023) exceeded RM100,000. The Company will remit the deducted WHT to the Inland Revenue Board of Malaysia (IRB) in the following month.

Kindly note that WHT does not represent an additional tax to the resellers but an advance payment of your income tax.

Please ensure that your tax filings and records are in order to reflect this new tax obligation if you fall within the specified threshold.

近日来有不少长期使用 Micaree OT Cream 养白霜的顾客联系公司说他们用后脸部有刺痛感也出现敏感症状。公司经过多番查证才发现原来公司的产品 Micaree OT Cream 养白霜在市场上出现了假货的情况。假冒产品的条码号全部都是重复一致为 “555967867125“，而生产日期显示为 2/11/2023。经过证实，这些投诉者手上的货皆是此批号及条码，而且他们都是以低于市场价的价格在第三方购物平台买入。

我司特发此声明为通知各位代理与顾客，

第一，现今在市场上流动的假货生产日期为 2/11/2023。公司在这段时间并未生产任何 Micaree OT Cream养白霜产品。

第二，望代理或顾客可仔细观察正品与市面上的假货包装。公司的正品产品包装未曾更改，包装材质也不是采用亮面材质，详情可看附录。

第三，盒子底部的条码皆为流水号，每一支产品的条码都是独一无二的，而假货的条码全为一样的号码“555967867125“。

第四，公司所售卖的所有产品都会拥有外盒与收缩膜完整的包装，产品包装都是完整的也不会拆封或破损，产品外盒也可以看到完整且不一样的条码号。

如今骗子手法层出不断，为了取得顾客信任以假乱真，公司不排除未来这些不法之徒会升级并优化他们的包装。我们公司所有的产品都有设定售卖定价，而 Micaree OT Cream 养白霜的定价售卖价格为 RM188。建议顾客们务必要通过正规渠道以及合格正规代理购买我们的产品并向我们合格的代理领取您的订单号码以及由公司开立的发票，或直接联系Xmegami 公司的任何社交平台，以确保您购买的产品是正品产品。

Lately, Customers who have been using Micaree OT Cream for a period of time have complained frequently of stinging feelings and sensitivity. We have found that fake versions of our product, Micaree OT Cream, have entered the market after conducting a thorough investigation. The identical serial barcode "555967867125" and the production date of 2/11/2023 are present on all of these fake goods. It has been verified that all of the complainants have bought products with this barcode and manufacture date from third-party online platforms for less than market value.

We hereby issue this notice to inform all our agents and customers:

First off, the production date of the fake goods that are presently on the market is 2/11/2023. During this time, our company did not produce any Micaree OT Cream goods.

Second, we strongly advise our representatives and clients to carefully evaluate the packaging of authentic and fake goods. The original product packaging does not have a glossy finish and has not been modified or upgraded. Additional information is included in the appendix.

Thirdly, each product has a different barcode, which is located on the bottom of the box and represents a serial number. In contrast, the "555967867125" barcode is shared by all of the counterfeit goods.

Fourth, the company guarantees that every product it sells comes in original packaging that includes shrink wrap and the outside box. There will be no tampering or opening of the product packing; it will come complete and undamaged. Additionally, a unique and intact barcode can be found on the bottom of the box as well.

Scammers are constantly evolving their methods to deceive customers, and we cannot rule out the possibility that these unscrupulous individuals may upgrade and optimize their packaging in the future. All our products are priced according to our established pricing policy, and the selling price for Micaree OT Cream is RM188. We strongly advise customers to purchase our products through authorized channels and qualified agents, and to obtain your order number and invoice issued by our company through our authorized agents, or reaching out to Xmegami through any of our social media platforms, to ensure that the products you purchase are genuine.

为了确保我们的代理团队能够在积极和稳健的环境中发展，公司在代理制度及更换上家条规制度上进行了一些修改和调整，提供更好的制度给代理们。以下是具体内容的详细说明：

1. 代理规章制度修改

- 如代理户口持续6个月未获得任何佣金，会员户口将自动变更为“顾客户口“。

- “顾客户口“将不会享有任何代理福利，且已绑定身份证号码的顾客若想加入或重新加入代理，可自由选择想跟随的上家/新上家。公司将会协助传递给原本绑定的代理。

- 要从“顾客户口“转回代理户口，需要重新购买25pv或以上的产品加入代理。

       2.更换上家条规及制度修改

- 更换上家的流程将基于以下情况：

           情况1：上家没有再经营了，上上家仍有经营而且一直带领着我，可选择换到上上家。
           情况2：上家没有再经营了，上上家也没有经营。

流程：

1. 向马来西亚客服表明问题并获取更换上家信件申请表格。
2. 填写表格后，客服审核并确认原有上家已经没有经营了。符合更换条件。

**沒有经营的标准为是否有完成合格代理标准审核，若原有的上家有佣金但并没有完成公司设定合格代理的标准亦没有履行作为上家的责任教育好下家。此上家将失去享有任何代理福利资格，也无权审批代理更换上家申请。

       3.客服审核后将提交给管理层完成审批，并将消息代传给原有上家。

*若通过多个渠道 WHATSAPP/TELEGRAM/WECHAT/SYSTEM TICKET/EMAIL 拨电话都无法联系原有上家，20个工作日后将默认通过代理请求。
    
情况3：上家仍有经营但关系性格磨合不好，没办法良好的沟通和做好事业。
情况4：上家没有再经营了，上上家仍有经营而且一直带领着我，但我想换上家/其它团队。

流程：

1. 向马来西亚客服表明问题并获取更换上家信件申请表格。
2. 填写表格后，客服审核并确认上家依然还有经营。
3. 代理需要退出XMEGAMI 维持一个月的冷却期，期间无法登录公司户口，无法下单，也会从大群移除（如有在群内）。
4. 一个月后才能以新代理的身份加入新的上家，并且需要重新购买25pv或以上的产品，所有累积的ROADMAP奖励福利都会清零。MEMBER TREE也会清零，重新开始。
5. 若旗下代理有意愿跟随你一同到新的上家，旗下代理也必须走过这个冷却期流程，所有奖励清零以及旗下所有已经累积的顾客户口/代理都无法带走且需要重新购买25pv或以上的产品加入。若旗下代理想要继续留在原有的团队，不想跟随你到新的团队，那么他们将直接被转移至你原有的上家旗下。

此制度将于2024年2月1日（星期四）起生效，意味着2023年8月至2024年1月（佣金结算为2023年9月至2024年2月）没有任何佣金的代理，会员户口将会自动转为“顾客户口” 。而会员系统将在近期内更新新的代理规章制度。

We hope this announcement brings clarity to some important changes and updates. In our ongoing efforts to enhance our services and regulations, we have made adjustments to our agent policies. Below is a detailed explanation of the specific changes:

1. Reseller Policy Modifications:

- If an agent account does not generate any commission for 6 consecutive months, the membership account will automatically be changed to a "Customer Account".

- "Customer Account" will not enjoy any agent benefits. Customers with linked NRIC numbers, if they wish to join or rejoin as agents, can choose the upline/new upline to rejoin. The company will assist pass on the message to the current sponsor.

- To revert from a "Customer Account" to an agent account, a repurchase of 25pv or more is required to rejoin as an agent.

2. Change of Upline Regulations and Policy Modifications:

- The process of changing an upline will be based on the following situations:

Situation 1: If the current upline is not active but the next upline is still active and has been leading you, you can choose to change to the next upline.

Situation 2: If the current upline is not active and the next upline also not active.

Process:

1. Inform Malaysia customer service of the issue and request the change of upline request form.

2. After filling out the form, customer service will review and confirm that the current upline has not active, meeting the criteria for a change.

• The criteria for agent that not active is whether the current upline has completed the qualified agent standard. If the current upline has earned commissions but has not met the company's qualified agent standard and has not fulfilled the responsibility of educating the downline, the current upline will lose eligibility for any agent benefits and will not have the authority to approve upline change requests.

     3. After customer service verification, the request will be submitted for management approval, and the current upline will be notified.

• If happens that we had contacted the original upline through multiple channels including but not limited to Whatsapp, Telegram, Wechat, System Ticket, Phone Call or Email but did not get any reply from him/her or unable to reach him/her after 20 working days, we will approve the agent's request thereafter. 

Situation 3: If the current upline is still active but the relationship and personalities are not conducive to good communication.

Situation 4: If the current upline is not active, the next upline is still active, but the agent wishes to change to another upline/another team.

Process:

1. Inform Malaysia customer service of the issue and request the change of upline request form.

2.  After filling out the form, customer service will review and confirm that the upline is still active.

3. The agent needs to exit XMEGAMI and maintain a one-month cooling-off period. During this time, agent could not log in to reseller system and place any orders, and will be removed from telegram group chats (if in any).

4. After one month, the agent can join a new upline as a new agent, and requiring a repurchase of 25pv or more of products. All accumulated ROADMAP reward benefits will be reset, and the MEMBER TREE will be cleared.

5. If downline agents wish to follow, they must go through the same cooling-off period process, with all rewards reset, and existing customer accounts/agents and requiring a repurchase of 25pv or more of products. If your downline agents wish to remain in current team and do not wish to follow you to the new team, they will be directly transfer under your current upline.

This Reseller Policy Adjustment will come into effect on 01/02/2024 (Thursday). This means that reseller who have not earned any commission from August 2023 to January 2024 (commission settlement from September 2023 to February 2024) will have their membership accounts automatically changed to "Customer Account". The reseller system will be updated with the new reseller policy in the near future.

1. 确认会员户口国籍:

  i. 新会员：代理先注册户口给新顾客，Country选择Indonesia，注册成功后登入顾客户口

             ii. 旧会员：登入已注册户口，点击右上角的Profile > 确认User Details 第一栏的Country是

i. Register new user : Select Indonesia as member country, log in user after register successfully

Thanks for your support! We are happy to announce that we had given out more than 100,000 packs of Micaree Hydro Booster sample pack due to overwhelming sales from April Flash Deal. However, the Micaree Hydro Booster sample pack is now out of stock. Hence, we would like to inform the resellers and customers that the flash deals will be ended earlier at today 6.00pm. 3. 确认了下单的商品和邮寄资料后可选择Delivery

4. 下好订单之后可使用三种汇款方式完成订单汇款：

i. FPX汇款 - 登入银行户口完成付款 （只限拥有马来西亚网上转账的银行户口使用）

ii. 信用卡付款 –输入信用卡资料完成付款，系统将自动征收总汇款价格3%的信用卡手续费

iii. 转账到公司马来西亚户口 –自行汇款到公司马来西亚银行户口并上传完整汇款收据到订单，并提交订单号码让国外市场客服微信进行审核

*财务部需要 3 - 5 个工作天审核海外转账汇款，审核时间会比国内汇款较久

In the view of gradually expansion of Indonesia Market in this recent years, we wish to inform all our resellers and customers that Indonesia warehouse are officially launched and all Indonesia orders shall contact the Official Overseas Customer Service (CS) wechat: (xmegami_sg) from 10th April 2021 onwards. Kindly refer below methods to place your order:

1. Register / Log in existing user:

i. Register new user : Select Indonesia as member country, log in user after register successfully

ii. Log in existing user : Select Profile at the right corner, confirm Indonesia as country; kindly contact Official Overseas Customer Service Wechat if request to amend user country to Indonesia

2. The products price shown in website are MYR converted price from IDR recommended selling price (RSP) 

3. Place your order and double confirm order items and delivery details and select delivery

4. There are three payment types to complete your order:

i. FPX Payment : Log in online banking user id and password to complete payment (Only valid for Malaysia Online Banking user only)

ii. Credit Card Payment : Key in credit card details to complete payment, 3% credit card surcharges applies.

iii. Bank Transfer : Bank in to Company Malaysia Bank Account and upload full bank slip into the order, provide order number to Official Overseas CS Wechat for order verification

* Finance department will take around 3-5 working days to verify Telegraphic Transfer order payment, payment will take longer than Local Inter-Bank transfer.

Please note that our Indonesia order only provide posting service. Hence, we urge all resellers to bear this in mind when dealing with Indonesia customers, all prices stated already included postage, order will process delivery in three working days.

In addition, our Micaree Hydro Booster 30ml Indonesia price will revise from 1065,000IDR to 930,000IDR start from 10th April after company’s consideration, kindly note down the revised price to avoid any inconvenience caused.

We are sorry to announce that the Micaree Hydro Booster will be running out of stock. The company had decided to return the latest batch of Micaree Hydro Booster due to the defect of the dropper. We would like to inform the resellers and customers that the supply of Micaree Hydro Booster will be temporary unavailable. As the stock level is low, the company will distribute stock according to time of the order placed.
